Popis
- Methodically responsible for compliance with applicable legal standards, updating legal documents and providing guidance on legal questions or issues.
- Leads the company's corporate agenda.
- Prepares legal analyses, opinions, comments and prepares documents of a legal nature.
- Performs legal supervision in the area of protection of the company, its tangible and intangible assets, rights and legitimate interests; from a legal point of view, methodically guides other departments in ensuring the protection of the company.
- Carries out legal supervision over the implementation of important development projects of the company for the purpose of ensuring compliance of project implementation with legislative and contractual requirements.
- Maintains employees' legal awareness in the form of planned update training on selected issues, acts on the basis of a defined power of attorney.
Areas of comprehensive legal advice:
1.Legal advice
- provision of legal analyses;
- provision of legal opinions;
- preparation or commenting on internal regulations and other documents of the company from a legal point of view.
2. Contract agenda
- Drafting, assessment and negotiation of the legal attributes of any commercial-law and civil-law contracts, including amendments, novations and terminations, in particular, but not limited to,
- purchase contracts, contracts for work, mandates, rental contracts and loan contracts, other commercial contracts (contracts in the field of transport, contracts for monetary services, contracts for the procurement of things, etc.)
3. Dispute agenda
- representation in civil court proceedings, administrative proceedings and administrative court proceedings (administrative judiciary);
- representation in commercial disputes, including legal assistance in out-of-court settlement of disputes;
- participation in dispute resolution and representation in labor law disputes.
4. Corporate law
- establishment and registration of business companies and changes in business companies;
- increasing and decreasing the share capital;
- processing of contracts and other documents from the field of corporate law (association contracts, articles of association, articles of association, share purchase contracts, contracts on the transfer of business shares, contracts on the sale of a business, agenda of the business and trade register, agenda of the register of public sector partners);
Požiadavky
Minimum qualifications:
A university law diploma is required as a minimum educational background.
Demonstrated experience in legal counsel roles, preferably in a project or corporate environment and in the production company.
At least 10 years of experiences in the field of professional legal services
Strong analytical skills.
Proficient communication skills in both written and spoken Slovakian, along with a good command of English.
Desired qualifications:
Strong time management skills to efficiently handle multiple tasks and prioritize responsibilities.
Excellent interpersonal skills to effectively collaborate with leadership and stakeholders.
Knowledge of general legal agenda mainly focused on business law, corporate law, employment law.
Awareness of cultural nuances and adaptability when working with diverse project teams.
